Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and Services to you.

These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

A. Review Usage Consent. By submitting a review on our website, you grant Super Team LLC a non-exclusive, royalty-free license to use, reproduce, and display your review (in whole or in part) for marketing purposes, including in advertisements, social media, and other promotional materials.

When publishing reviews, we may display only your first name and the initial of your last name to help protect your privacy.

You may request removal of your review from our marketing materials at any time by contacting us at support@superteamfoods.com, and we will promptly stop using it in future promotions.

SECTION 10 - MOBILE TERMS OF SERVICE

The Super Team mobile message service (the "Service") is operated by Super Team (“Super Team”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to Super Team’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of Super Team through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with Super Team. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP to +18446850072 or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other Super Team mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.

In no case shall Super Team, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, Service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Service or any products procured using the Service, or for any other claim related in any way to your use of the Service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any content (or product) posted, transmitted, or otherwise made available via the Service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

SECTION 15 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless Super Team and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, Service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

SECTION 16 - SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 17 - TERMINATION
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SECTION 18 - DISPUTES; CHOICE OF LAW; JURISDICTION AND VENUE

You agree that any disputes arising out of or relating to this Agreement or the Service shall be resolved in accordance with the terms set out in this Agreement.

This Agreement is governed by the laws of the State of Texas (without regard to its choice of law provisions). Subject to Section 19 below, in connection with the enforcement of an award of arbitration or any other dispute arising under this Agreement that requires resolution by a court of law, the exclusive venue shall be in the appropriate state or federal court located in Houston, Texas. ALL PARTIES IRREVOCABLY WAIVE ANY AND ALL RIGHTS THEY MAY HAVE TO A TRIAL BY JURY IN ANY JUDICIAL PROCEEDING INVOLVING ANY CLAIM RELATING TO OR ARISING UNDER THIS AGREEMENT. You and we each represent to the other that this waiver is knowingly, willingly and voluntarily given.

SECTION 19 - ARBITRATION

Notwithstanding section 18, you and we agree to resolve any all claims and disputes relating in any way to this Agreement ("Claims"), except for Claims concerning the validity, scope or enforceability of this section 19 ("Arbitration Provision") through BINDING INDIVIDUAL ARBITRATION. This Arbitration Provision is made with respect to transactions involving interstate commerce and shall be governed by the Federal Arbitration Act, 9 U.S.C. §§ 1-16 (the "FAA"). It is the intent of the parties that the FAA shall preempt all state laws to the fullest extent permitted by law. If the FAA is found to not apply or not preempt state law as to any issue that arises under this Arbitration Provision or the enforcement thereof, then such issue shall be resolved under the laws of the state of Texas in accordance with section 18.

A. Individual Arbitration. By entering into this Arbitration Provision, neither you nor we will be able to have the dispute settled by a court or jury trial or to participate in a class action, collective action, class arbitration, or other representative action or proceeding. Other rights that you and we would have if you or we went to court will not be available or will be more limited in arbitration, including the right to appeal. You and we each understand that by agreeing to resolve any dispute through individual arbitration, WE ARE EACH WAIVING THE RIGHT TO A COURT OR JURY TRIAL. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator(s) may not consolidate more than one party's claims and may not otherwise preside over any form of a representative or class proceeding. Further, the arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. If applicable law precludes enforcement of any of this paragraph's limitations as to a particular claim for relief, then that claim (and only that claim) must be severed from arbitration and may be brought in court. If any portion of this Arbitration Provision other than this paragraph's limitations is deemed invalid or unenforceable, it shall not invalidate the remaining portions of this Arbitration Provision.

B. Arbitration Rules. Arbitration of any dispute under this Arbitration Provision shall be administered by JAMS pursuant to the applicable rules of JAMS in effect at the time the arbitration is initiated. You may contact JAMS to obtain information about arbitration, by calling 800-352-5267 or visiting www.jamsadr.com. If JAMS is unable or unwilling to administer the arbitration of a dispute, then a dispute may be referred to any other arbitration organization you and we agree upon or to an arbitration organization or arbitrator appointed pursuant to section 5 of the FAA. Arbitrations shall be conducted before a single arbitrator. Any in-person arbitration shall take place in Houston, Texas, unless otherwise agreed by you and us in writing. If your claim is for $10,000 or less, we agree that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or by an in-person hearing as established by the JAMS rules. If your claim exceeds $10,000, the right to a hearing will be determined by the JAMS rules.

C. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based. The arbitrator shall apply applicable substantive law consistent with the FAA and applicable statutes of limitations and shall be authorized to award any relief that would have been available in court, provided that the arbitrator's authority to resolve claims and make awards is limited to you and us alone except as otherwise specifically stated herein. The decision by the arbitrator shall be final and binding. You and we agree that this Arbitration Provision extends to any other parties involved in any Claims, including but not limited to your and our employees, affiliated companies, and vendors. In the event of any conflict between this Arbitration Provision and the JAMS arbitration rules or the rules of any other arbitration organization or arbitrator, this Arbitration Provision shall govern.

D. Arbitration Fees and Costs. Except as otherwise provided for herein, we will pay all JAMS filing, administration, and arbitrator fees. If, however, the arbitrator finds that either the substance of your claim or the relief sought in your arbitration demand is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of such fees will be governed by the JAMS rules. In such case, you agree to reimburse us for all monies previously disbursed by us that are otherwise your obligation to pay under the JAMS rules. In addition, if you initiate an arbitration in which you seek more than $75,000 in damages, the payment of these fees will be governed by the JAMS rules.

E. Arbitrator Selection and Qualifications. To ensure an efficient and expert resolution of any Claim, the arbitrator shall be a retired judge or a practicing attorney with at least fifteen (15) years of experience in commercial or e-commerce law. If the parties are unable to agree upon an arbitrator within fourteen (14) days of the delivery of a demand for arbitration, the parties shall request a list of five (5) potential arbitrators from JAMS. Each party shall have seven (7) days to strike two (2) names from the list, and the remaining individual shall be appointed as the arbitrator. This expedited selection process is intended to prevent intentional delays and minimize the pre-hearing legal costs for both parties.

F. Delegation of Authority. To the maximum extent permitted by applicable law, the arbitrator—and not any federal, state, or local court or agency—shall have the sole and exclusive authority to resolve any and all disputes relating to the interpretation, applicability, enforceability, or formation of this Agreement and this Arbitration Provision, including, but not limited to, any claim that all or any part of this Agreement is void or voidable. This "Delegation Clause" ensures that all questions of "arbitrability" are decided by the arbitrator, thereby avoiding the public nature and high expense of preliminary court litigation regarding the validity of these Terms.

G. Staged "Bellwether" Batching for Mass Filings. To promote the efficient resolution of similar Claims and prevent the abuse of administrative fee structures, you and we agree that if twenty-five (25) or more similar Claims are asserted against Super Team by the same or coordinated counsel (a “Mass Filing”), the following "Bellwether" process shall apply:

  • (i) Initial Selection: JAMS shall randomly select five (5) Claims to proceed to individual arbitration (the "Bellwether Group").

  • (ii) Stay of Remaining Claims: All other Claims in the Mass Filing shall be stayed (put on hold), and no arbitration fees (filing or administrative) shall be due from Super Team for those stayed Claims until they are selected to proceed. The statute of limitations for the stayed Claims shall be tolled (paused) while the Bellwether Group proceeds.

  • (iii) Mediation: Once the Bellwether Group has been resolved through a final award or settlement, the parties shall participate in a global mediation for at least ninety (90) days to attempt to resolve the remaining Claims based on the outcomes of the Bellwether Group.

  • (iv) Subsequent Batches: If mediation fails, the remaining Claims shall be arbitrated in subsequent batches of twenty-five (25) until all Claims are resolved. This process is designed to prevent "fee-dumping" and ensures that the parties can resolve disputes on the merits rather than through administrative cost pressure.


SECTION 20 - ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

SECTION 21 - GOVERNING LAW
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Texas and the United States.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
